Tech transactions partner joins Holland & Knight | Careers – World Intellectual Property Review

New hire leaves Moore & Van Allen for Holland’s Charlotte office in North Carolina | Technology transfer agreements in M&A deals are becoming ‘increasingly complex’, says private equity advisor.

Holland & Knight has brought Emmett Weindruch on board as a partner in its Charlotte office in North Carolina. Weindruch, who was previously a partner at Moore & Van Allen, brings a transactional practice to the firm, focusing on preparing and negotiating IP, technology and commercial agreements.

His work includes software as a service (SaaS) agreements, patent and trademark licenses, joint developer agreements, software reseller agreements, cloud hosting agreements and a variety of supply chain, hosted solution and general commercial agreements.

“Emmett has an extremely valuable skillset, which includes advising on intellectual property matters, but also handling due diligence on tech industry M&A deals as well,” said David Donoghue, leader of Holland & Knight’s IP practice group.

“Several of our colleagues in Charlotte have worked with Emmett before; therefore, we are thrilled to expand our practice with a highly-regarded and trusted advisor.”

Weindruch also has substantive experience working with private equity sponsors evaluating and negotiating M&A in technological fields. As part of these transactions, he leads IP due diligence efforts, including evaluating portfolios and technology agreements and negotiating IP and regulatory terms.

“Technology transactions are becoming increasingly complex, and I’m excited to be joining a large firm like Holland & Knight that can provide my clients with expertise in rapidly changing fields like data privacy and artificial intelligence,” said Weindruch.

“Additionally, IP is a critical issue for any M&A transaction, and I’m thrilled to be working again with colleagues who are building a market-leading, private equity practice in Charlotte.”
